IMPORTANT - READ CAREFULLY AND COMPLETE REGISTRATION FORM TO SHOW ACCEPTANCEOF THE TERMS OF THIS SOFTWARE LICENCE AGREEMENTTHIS LEGAL DOCUMENT IS AN AGREEMENT BETWEEN YOU ("THE LICENSEE") AND ROYALHOLLOWAY AND BEDFORD NEW COLLEGE ("ROYAL HOLLOWAY") OF EGHAM, SURREY TW200EX, UNITED KINGDOM AND AT&T LABORATORIES - RESEARCH ("AT&T") OF 100 SCHULZDRIVE, RED BANK, NJ 07701-7033, UNITED STATES OF AMERICA. BY COMPLETING THEREGISTRATION FORM AND CLICKING THE 'ACCEPT' ICON, YOU ARE AGREEING TO BECOMEBOUND BY THE TERMS OF THIS AGREEMENT. ACCESS TO THE SOFTWARE IS ONLYACTIVATED BY SUCH ACCEPTANCE.Royal Holloway and AT&T own the copyright in the computer program(s) "SVM"and associated source code and user documentation contained on the RoyalHolloway website "http:\\svm.dcs.rhbnc.ac.uk", which program(s) anddocumentation are hereinafter called "the SVM Software". In order topreserve and protect their rights under applicable laws, Royal Holloway andAT&T do not sell any rights in the SVM Software but grant licences for theuse of the SVM Software in accordance with the terms and conditions of thisAgreement.The Licensee wishes to be granted a licence by Royal Holloway and AT&T touse the SVM Software.1 GRANT OF LICENCESubject to the terms of this Agreement, Royal Holloway and AT&T hereby grantto the Licensee a royalty-free, non-exclusive, perpetual licence to use theSVM Software. The Licensee shall be responsible for installing the SVMSoftware. In consideration of the rights granted hereunder by Royal Hollowayand AT&T to the Licensee in respect of the SVM Software, the Licensee shall:1.1 make reference to Royal Holloway and AT&T in any work published usingresults produced using the SVM Software and include reference to the RoyalHolloway Technical Report "Support Vector Machine - Reference Manual"CSD-TR-98-03 by C Saunders, M O Stitson, J Weston, L.Bottou, B.Sch鰈kopf andA.Smola, published by Royal Holloway 1998 in the bibliography of suchpublications;1.2 provide Royal Holloway and AT&T with a copy of any work published usingresults produced using the SVM Software;1.3 provide to Royal Holloway and AT&T comments on the accuracy, performanceand fitness for use of the SVM Software.2 PERMITTED USE OF THE SVM SOFTWARE2.1 The SVM Software is strictly for NON-COMMERCIAL USE ONLY and may only beused for research, evaluation or teaching purposes.2.2 The licence permits employees of the Licensee to use the SVM Softwareonly on one (1) computer. If such computer is part of a network ofcomputers, then while the SVM Software is being accessed on such computer,the SVM Software shall not be copied to, or used on, any other computer onsuch network, nor shall the SVM Software be accessed for use through anyother computer on such network.3 OBLIGATIONS OF THE LICENSEEThe Licensee hereby undertakes that it will not:3.1 make any use of the SVM Software other than as permitted under Clause 2of this Agreement; or3.2 make any copies of the SVM Software other than as required for thepurposes of the permitted use under Clause 2 of this Agreement; or3.3 cause, directly or indirectly, the transfer of the SVM Software to anythird party, or the acquisition of the SVM Software by any third party; or3.4 modify the SVM Software without the prior written consent of both RoyalHolloway and AT&T.4 WARRANTYNeither Royal Holloway nor AT&T give any warranty and make no representationabout the performance or characteristics of the SVM Software.5 LIMITATION OF LIABILITYThe Licensee shall assume full responsibility for any use by the Licensee orby any third party (including any employee of the Licensee) of the SVMSoftware and/or any other information provided under this Agreement andshall indemnify and hold harmless Royal Holloway and AT&T against any claimswhich may be brought against either Royal Holloway or AT&T arising out ofthe said use of the SVM Software and/or such other information.6 INTELLECTUAL PROPERTY RIGHTSAll intellectual property rights in the SVM Software remain the property ofRoyal Holloway and AT&T. At no time shall any property rights in the SVMSoftware or any part thereof be vested in the Licensee. Royal Holloway andAT&T make no warranty or representation that the use of the SVM Softwareand/or any information provided by Royal Holloway or AT&T to the Licenseeunder the terms of this Agreement does not infringe the rights of any thirdparty.7 CONFIDENTIALITYThe Licensee shall take all reasonable precautions to ensure that the SVMSoftware is treated as confidential.8 TERMINATIONRoyal Holloway and AT&T may terminate this Agreement at any time if theLicensee fails to comply with any of the terms and conditions of thisAgreement.9 ASSIGNMENTThe Licensee shall not assign or transfer any rights, duties or obligationsunder this Agreement.10 APPLICABLE LAWThis Agreement shall be construed in accordance with the laws of England andsubject to the sole jurisdiction of the Courts of England.
