END USER LICENSE AGREEMENT
Software License Agreement for tinyPM

IMPORTANT - PLEASE READ CAREFULLY: 
BY REGISTERING FOR, INSTALLING, USING THE SOFTWARE ('tinyPM') AND/OR COPYING THE SOFTWARE, YOU ('Customer'), 
EITHER ON BEHALF OF YOURSELF AS AN INDIVIDUAL OR ON BEHALF OF AN ENTITY AS ITS AUTHORIZED REPRESENTATIVE, 
AGREE TO ALL OF THE TERMS OF THIS END USER LICENSE AGREEMENT ('Agreement') REGARDING YOUR USE OF THE SOFTWARE. 
IF YOU DO NOT AGREE WITH ALL OF THE TERMS OF THIS AGREEMENT, REMOVE THE SOFTWARE FROM YOUR DISKS.

1. GRANT OF LICENSE

Subject to the terms below, Agilers hereby grants you a non-exclusive, 
non-transferable, limited license to install and to use tinyPM ('Software').

Under this license: 
  * you may install and use the Software in accordance with the terms of this Agreement,
  * you may copy the Software for back-up or archival purposes,
  * you may use license key file obtained during the registration with a single tinyPM instance only.
    
Whether you are licensing the Software as an individual or on behalf of an entity, you may not: 
  * reverse engineer, decompile, or disassemble the Software or attempt to discover the source code
  * modify, or create derivative works based upon, the Software in whole or in part without the express 
    written consent of Agilers,
  * distribute the software to others without first obtaining the required licenses, where applicable,  
  * remove any proprietary notices or labels on the Software,
  * resell, lease, rent, transfer, sublicense, or otherwise transfer rights to the Software.

2. TERM OF LICENSE

This license shall begin on the date when Agilers provides a Customer with the Software license key and 
continue for the term specified in the Software license key. The term of this Agreement will automatically 
renew for successive terms thereafter at the then current fee listed for the Software on the Software website 
(www.tinypm.com), subject to earlier termination by either Agilers or a Customer in accordance with this 
Agreement.

3. LICENSE FEES

The exact amount of the license fees are described on the Software website (www.tinypm.com) and in the order 
confirmation e-mail message received from Agilers. During the term of license Agilers will provide a Customer 
with all upgrades made available to the public. Agilers reservers the right to charge an additional license 
fee if new versions of the Software constitute significant modification or expansion of Software features.

4. CUSTOMER SERVICE AND COMMUNICATION

Agilers will provide support services only to the Customer obtaining payed Software licenses. Agilers will 
not provide support to anyone utilizing the Software under a no cost, trial or community license.

Subject to the obtaining of a paid Software license key and continuing to pay the applicable license fees, 
Agilers will make reasonable efforts to resolve all issues related to malfunctions or errors resident in 
the Software. Agilers will provide support only for the most recent version of the Software.

Under this Agreement, you consent to receive communications from Agilers electronically. Agilers communicate 
with customers by email or by posting notices on the tinyPM website (www.tinypm.com). You agree that all 
agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any 
legal requirement that such communications be in writing.

Agilers reserves the right to discontinue support of this product with 90 days' advance notice. In this case, 
any prepaid license fees may be returned to the customer at the time of discontinuation.

5. INTELLECTUAL PROPERTY

You acknowledge that no title to the intellectual property in the Software is transferred to you. Title, 
ownership, rights, and intellectual property rights in and to the Software shall remain that of Agilers. 
The Software is protected by copyright and patent laws of the Republic of Poland, European Union and 
international treaties.

6. DISCLAIMER OF WARRANTY

YOU AGREE THAT AGILERS HAS MADE NO EXPRESS WARRANTIES, ORAL OR WRITTEN, TO YOU REGARDING THE PRODUCTS AND 
THAT THE PRODUCTS ARE BEING PROVIDED TO YOU 'AS IS' WITHOUT WARRANTY OF ANY KIND. AGILERS DISCLAIMS ANY AND 
ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED, OR STATUTORY. YOUR RIGHTS MAY VARY DEPENDING ON THE STATE 
AND/OR COUNTRY IN WHICH YOU LIVE. AGILERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, COVER, 
RELIANCE, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OF THIS PRODUCT.

7. LIMITATION OF LIABILITY

YOU USE THIS PROGRAM SOLELY AT YOUR OWN RISK. IN NO EVENT SHALL AGILERS BE LIABLE TO YOU FOR ANY DAMAGES, 
INCLUDING BUT NOT LIMITED TO ANY LOSS, OR OTHER INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND 
ARISING OUT OF THE USE OF THE SOFTWARE, EVEN IF AGILERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
IN NO EVENT WILL AGILERS BE LIABLE FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY, 
EXCEED THE COST OF THE SOFTWARE. THIS LIMITATION SHALL APPLY TO CLAIMS OF PERSONAL INJURY TO THE EXTENT 
PERMITTED BY LAW.

8. TERMINATION

This Agreement shall terminate automatically if you fail to comply with the limitations described in this 
Agreement. No notice shall be required to effectuate such termination. Upon termination, you must remove and 
destroy all copies of the Software. In the event of cancellation or termination of this Agreement, no pro-rata 
refunds will be made.

9. MISCELLANEOUS

Severability.
In the event of invalidity of any provision of this Agreement, the parties agree that such invalidity shall 
not affect the validity of the remaining portions of this Agreement.

Governing Law.
This Agreement will be governed by the laws of the Republic of Poland. 

Jurisdiction.
The limitations or exclusions of warranties and liability contained in this Agreement do not affect or 
prejudice the statutory rights of a consumer, i.e., a person acquiring goods for solely personal use otherwise 
than in the course of a business outside of the U.S.A. The limitations or exclusions of warranties, remedies 
or liability contained in this Agreement apply to you only to the extent such limitations or exclusions are 
permitted under the laws of the jurisdiction where you are located.

Entire Agreement. 
You agree that this is the entire agreement between you and Agilers, which supersedes any prior agreement, 
whether written or oral, and all other communications between Agilers and you relating to the subject matter 
of this Agreement.

Reservation of rights.
All rights not expressly granted in this Agreement are reserved by Agilers.
